Lindahl advised sell-side on the divestment of several Swedish, Spanish and British leading chemicals distributors to KRAHN Chemie. The sale included the Swedish distributors AmphoChem AB and Pemco Additives AB and their subsidiaries Temper Technology AB and BGM Logistics AB. AmphoChem AB is a market leading chemical distributor, supplying customized formulations and raw materials across a range of industries, and Pemco Additives AB is a pioneering business at the heart of the fuels, lubricants and petrochemical industries and a leading European supplier and distributor of additives and specialty products. The sale also included the Spanish distributor Pemco-Trigueros Additives Spain, S.L., and the British distributor Petrico Limited.
KRAHN Chemie, which is part of the globally operating Otto Krahn Group, is a German chemical distribution company active across Europe with a history spanning over 100 years. Its core competences are the sales, marketing and distribution of specialty chemicals and heat transfer fluids.
The multinational nature of the transaction, the large number of parties involved, both target companies and sellers, and the fact that the transaction included several changes to the organizational structure both prior to and after the sale, are factors that made the transaction particularly complex.
