Lindahl has acted as legal advisor to Coeli Private Equity AB (publ) (“CPE”) in connection with the merger of Coeli Private Equity 2016 AB (publ) (“CPE 2016”) on the regulated Nordic AIF market, which is operated by Nordic Growth Market NGM AB. The merger was executed in the form of CPE 2016, as transferring company, becoming part of CPE, in the role of acquiring company, with the shares in CPE 2016 being replaced by new shares in CPE.
The process took just over nine months, and following the decision of the Swedish Companies Registration Office to approve the merger, CPE 2016 applied to delist the company’s P2 Preference Shares from NGM Nordic AIF. The final trading day was 24 August 2021.
The merger was executed after CPE had concluded a wide-ranging merger procedure in 2019, in which nine of Coeli’s previous annual funds focusing on the Nordic private equity market were merged into the then newly-created investment company Coeli Private Equity AB (publ), after which CPE was listed on NGM Nordic AIF. Coeli Private Equity AB (publ)’s business concept is to offer its clients an opportunity to invest in a unique Nordic private equity portfolio. The company has built up a well-diversified portfolio through investments in private equity funds and a small number of direct investments, and now has an exposure to around 150 portfolio companies in different life cycles and sectors.
Lindahl’s team consisted primarily of Mårten Steen, Emira Peterson and Emelie Carmhagen. A number of other employees also contributed to various parts of the project.
