Lindahl assists Byggmax Group when the company makes strategic investments of about SEK 1 billion to strengthen the company’s e-commerce offer.
Lindahl advises Byggmax as the company acquires all the shares in Skånska Byggvaror for an initial payment of MSEK 741. The purchase price corresponds to an enterprise value of MSEK 847 on a debt free basis. In addition, there is an opportunity for the shareholders in Skånska Byggvaror to receive additional payments of MSEK 110, if EBITDA exceeds MSEK 67 for 2016, with a maximum payout if EBITDA is MSEK 79 or more.
Lindahl also advises Byggmax in the acquisition of Buildor for a total of MSEK 130. The price is a combination of MSEK 70 in initial purchase price, and additional contingent consideration based on sales and operating profit for Buildor in 2016 and 2017.
